Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Ubiquiti Inc. common stock.

2. The RSUs will vest as follows: 285 RSUs will vest on July 1, 2024; 285 RSUs will vest on July 1, 2025; 284 RSUs will vest on July 1, 2026; and the remaining 284 RSUs will vest on July 1, 2027. Vested units will be delivered to the reporting person on each vesting date.
