Explanation of Responses:

1. The shares of Class B common stock, par value $0.0001 per share ("Class B Common Stock"), of the issuer are convertible into an equal number of shares of Class A common stock, par value $0.0001 per share ("Class A Common Stock"), of the issuer and have no expiration date. On March 30, 2023, the Reporting Person elected to convert 25,000 shares of Class B Common Stock into shares of Class A Common Stock.

2. Excludes an indirect pecuniary interest in certain of the securities owned by the Issuer's sponsor, Home Plate Sponsor LLC (the "Sponsor"), as a result of the Reporting Person's membership interest in the Sponsor.
