Explanation of Responses:

1. Stock Option is currently vested and exercisable as to 1,018,496 of the underlying shares, and the remaining shares will vest in equal monthly installments until fully vested on October 23, 2023.

2. Pursuant to the Merger Agreement (the "Merger Agreement"), dated February 7, 2021, by and among Gores Holdings VI, Inc. (the "Issuer"), Maker Merger Sub, Inc., Maker Merger Sub II, LLC and Matterport, Inc. (the "Company"), each share of the Company's common stock issued and outstanding immediately prior to the effective time of the transactions contemplated by the Merger was automatically converted into the right to receive a number of shares of the Issuer's Class A Common Stock based on the Per Share Company Common Stock Consideration (as defined in the Merger Agreement). In addition, each outstanding Company equity award was automatically converted into a corresponding equity award of the Issuer based on the Per Share Company Common Stock Consideration and with the same terms and vesting conditions as the Company equity awards.
