1. Restricted stock units (RSUs) convert on a one-for-one basis.

2. 9,000 RSUs vested on December 31, 2022.

3. On March 7, 2023, the reporting person was granted 36,000 RSUs. One-fourth will vest on March, 31, 2023, one-fourth will vest on June 30, 2023, one-fourth will vest on September 30, 2023, and one-fourth will vest on December 31, 2023.

4. 9,000 RSUs vested on March 31, 2023.
