Explanation of Responses:

1. Restricted stock award for non-employee directors that vests on the date of the 2024 Annual Meeting of Stockholders as a retainer for director services from the 2023 Annual Meeting of Stockholders until the 2024 Annual Meeting of Stockholders. Due to an administrative error the restricted stock award was inadvertently not reported when granted on May 10, 2023.

2. The restricted stock award was deferred into deferred stock units to be settled in common stock upon director's departure from the Board of Directors pursuant to the Outside Directors Deferral Plan.
