Explanation of Responses:

1. The reported securities are restricted stock units ("RSUs"), each of which represents a contingent right to receive one share of Common Stock of LiveVox Holdings, Inc. 25% of the RSUs vest on May 5, 2024 and the remaining shares vest in 12 equal quarterly installments beginning on August 5, 2024.
