Explanation of Responses:

1. On July 16, 2021, the Company, under its 2016 Incentive Plan, issued Mr. Ruckdaeschel options (the "Options") to purchase 5,886 shares of Common Stock, which Options vest in monthly increments over a six month period, beginning July 31, 2021. The Options will be deemed exercisable when, and to the extent, they become vested.
