Explanation of Responses:

1. Pursuant to an employment agreement dated September 1, 2022, amended on June 15, 2023, the Reporting Person was granted 100,000 restricted stock units on January 1, 2023 and 100,000 restricted stock units on June 15, 2023. Starting from June 15, 2023, such 200,000 restricted stock units will vest in four equal installments of 50,000 restricted stock units on each June 15 and December 15 over a two-year period.

2. Includes: 387,441 shares of common stock owned by a spousal trust, of which the Reporting Person disclaims beneficial ownership; and 50,000 shares of common stock owned by a charitable fund, of which the Reporting Person is the trustee and holds voting and dispositive power over the shares.
