Explanation of Responses:

1. Represents Deferred Share Units (DSUs) under the MGM Growth Properties LLC 2016 Deferred Compensation Plan for Non-Employee Directors. Each DSU is the economic equivalent of one Class A share. The DSUs become payable upon the reporting person's termination of service as a Director.

2. Due to a clerical error, the Form 4 filed on July 2, 2021 inadvertently reflected a transaction amount of 649 DSUs. This Amendment is being filed to correct the number of DSUs received by the Reporting Person for his quarterly fees on such date and the resulting balance following the reported transaction.
