Explanation of Responses:

1. On November 13, 2023, the reporting person was granted 1,000,000 Non-Qualified options, 25% (the "Initial Vested Amount") will vest 90 days after the effective date of the grant (which will be stated in the Option Agreement) (the "Initial Vesting Period"); and the remaining Options will vest in thirty three (33) equal monthly installments beginning on the fifteenth day of the first calendar quarter following the Initial Vesting Period.
