Explanation of Responses:

1. Each Restricted Stock Unit, or RSU represents the right to receive 1 share of the issuers common stock.

2. The RSUs vest as follows. Half of the shares granted vest on anniversary of the date of grant over a three year period. The remaining half of the shares granted are performance-based and vest over a three-year period subject to the achievement of certain performance conditions related to achieving annual EBITDA targets.
