Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

2. The restricted stock units vest in four equal annual installments beginning September 30, 2021, but in the event of cessation of service for any reason the restricted stock units vest pro rata for the number of days of service beginning July 1, 2021, based on a 365-day year.
