In accordance with the registrant's non-qualified deferred compensation plan, the reporting person received these phantom stock units pursuant to an election by the reporting person on December 28, 2021. Each phantom stock unit is the economic equivalent of one share of the registrant's common stock. Phantom stock units are payable in cash on the date elected by the reporting person.
