Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one (1) share of the Issuer's Common Stock.

2. Subject to the reporting person's continuous service with the Company, one-twelfth (1/12th) of the award shall vest quarterly, with the first vesting date of August 15, 2022, and one twelfth (1/12th) of the award shall vest on each of February 15th, May 15th, August 15th and November 15th, thereafter, until fully vested.
