Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one (1) share of the Issuer's Common Stock.

2. Subject to the reporting person's continuous service with the Company: (i) one half (1/2) of the total number of restricted stock units subject to this award shall vest on November 15, 2023, the first anniversary of the vesting commencement date and (ii) one half (1/2) of the total number of restricted stock units subject to this award shall vest on November 15, 2024, the second anniversary of the vesting commencement date.
