Explanation of Responses:

1. On January 6, 2023, the Company, under its 2016 Incentive Plan, agreed to issue Mr. Smith options (the "Options") to purchase 4,500 shares of Common Stock, which are fully vested upon issuance. These do not include the 55,349 options to purchase common stock already held by Mr. Smith. Furthermore, the ownership reflected herein does not include 250 shares directly held or 1,002,298 shares indirectly held by Mr. Smith (through VRTech Consulting LLC - an entity owned and managed by Mr. Smith).
