1. Each restricted stock unit represents the right to receive, at settlement, one share of common stock. This transaction represents the settlement of restricted stock units in shares of common stock on their scheduled vesting date.

2. One third (1/3) of the total number of shares subject to the award will vest on each of February 15, 2024, February 15, 2025 and February 15, 2026.
