1. The securities awarded are in the form of restricted stock units (RSUs) issued pursuant to the Issuer's amended 2020 Long-Term Incentive Plan. Each RSU represents the right to receive one share of the Issuer's common stock. The RSUs award vests immediately on grant date and becomes non-forfeitable.
