1. These restricted stock units ("RSUs") convert into common stock on a one-for-one basis.

2. These RSUs were granted under the Transcat, Inc. 2021 Stock Incentive Plan in a transaction exempt under Rule 16b-3 and, except as otherwise provided in the award notice, vest on March 25, 2028.

3. These RSUs vest on March 27, 2027, except as otherwise provided in the award notice.

4. These RSUs vest on March 28, 2026, except as otherwise provided in the award notice.

5. This option is fully exercisable as of the date of this report.
