The RSUs represent an award of restricted stock units which will vest on the earlier of (i) the day immediately preceding the date of the 2024 Annual Meeting of Shareholders and (ii) October 6, 2024, subject to the Reporting Person continuing in service on the Issuer's Board of Directors through the applicable vesting date.
