Explanation of Responses:

1. The option was granted on May 27, 2021, the date of the Issuer's 2021 Annual Meeting of Stockholders, and shall become exercisable with respect to the underlying shares of common stock in a series of twelve (12) successive, equal monthly installments on each monthly anniversary of the grant date, such that the option shall be fully vested twelve months following the date of grant, subject to the Reporting Person's continuing service on the Board of the Issuer through such dates.
