Explanation of Responses:

1. The reporting person owned 46,377 shares of Class F Common Stock which are convertible into shares of Class A Common Stock as described under the heading "Description of Securities-Founder Shares" in the issuer's registration statement on Form S-1 (File No. 333-252032). The shares of Class F Common Stock have no expiration date.

2. In connection with the reporting person's resignation as a director of the issuer, TLG Acquisition Founder LLC purchased 23,189 shares of Class F Common Stock of the issuer from the reporting person for $60.00, or approximately $0.003 per share.
