Explanation of Responses:

1. The Common Stock Warrants were purchased pursuant to a Note and Warrant Purchase Agreement between the Reporting Person and the Issuer. The Reporting Person paid $100,000 and received a promissory note in the principal amount of $100,000 and 100,000 Common Stock Warrants, exercisable for 75,000 shares of Class A Common Stock of the Issuer at an exercise price of $11.50 per share.
