Explanation of Responses:

1. Mr. Tusa was granted options to purchase 102,400 shares of common stock under the Sharps Compliance 2010 Stock Plan which vests as follows: one-fourth on August 20, 2022, one-fourth on August 20, 2023, one-fourth on August 20, 2024 and one-fourth on August 20, 2025. The exercise price of the stock is $8.86 according to the agreement. Upon a change in control, as defined in the 2010 Stock Plan, any unvested stock options become fully vested.
