1. Represents options to purchase shares of common stock granted pursuant to the Issuer's 2022 Omnibus Equity Incentive Plan.

2. The shares of common stock underlying the option vest 4/12ths upon issuance, and the remainder shall vest in equal increments on the last day of each month thereafter for the next eight months, vesting in full on December 31, 2024.
