Explanation of Responses:

1. The option (the "Option") was granted under the Genprex, Inc. (the "Company") 2018 Equity Incentive Plan (the "Plan"). The Option shall vest and become exercisable as to one third (1/3) of the total number of shares (the "Shares") of the Company's common stock, $.001 par value subject to the Option on February 4, 2023 (the "Vesting Commencement Date") and thereafter shall vest and become exercisable as to an additional 1/24 of the remaining Shares subject to the Option on each monthly anniversary of the Vesting Commencement Date until fully vested and exercisable, in each case provided that the Optionee continues to serve as a Service Provider (as defined in the Plan) through the applicable vesting date.
