1. Reflects shares purchased as a result of the Reporting Person's participation in the Issuer's employee stock purchase plan, exempt pursuant to Rule 16b-3(c).

2. Represents the number of shares withheld to cover tax withholding obligations in connection with the vesting of restricted stock units ("RSUs").

3. Each RSU represents a contingent right to receive one share of Class A Common Stock.

4. Represents the vesting of 25% of the RSUs. The remaining unvested RSUs will vest in twelve approximately equal quarterly installments.
