Explanation of Responses:

1. The Reporting Person received 453,200 performance restricted stock units ("PSUs") on May 6, 2020 that were eligible to vest at the end of a three-year performance period subject to the achievement of specified stock price hurdles and the Reporting Person's continued employment. Each PSU represented a contingent right to receive one share of the Issuer's common stock. These PSUs fully vested on May 6, 2023 and were settled in shares of the Issuer's common stock.
