Explanation of Responses:

1. The non-qualified stock options were issued to the Reporting person on May 2, 2022, pursuant to the Issuer's 2014 Equity Incentive Plan (the "Plan"). The award is subject to time-based vesting and will vest and be exercisable as follows (i) 400,000 on May 2, 2023, and (ii) 1/36 of the remaining grant on a monthly basis thereafter.
