Explanation of Responses:

1. Represents a distribution by Fat Projects SPAC PTE. LTD., the sponsor of the issuer (the "Sponsor") to its members for no consideration.

2. Each warrant will become exercisable on the later of 12 months from the closing of the Issuer's initial public offering and the date of completion of the Issuer's initial business combination. Each warrant will expire five years after the completion of the Issuer's initial business combination or earlier upon redemption or liquidation.

3. The Class B ordinary shares have no expiration date and will automatically convert into Class A ordinary shares at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment as set forth in the issuer's registration statement on Form S-1 (File No. 333-257126).

4. The securities are held directly by Wyer Investments Pty. Ltd. The Reporting Person may be deemed to beneficially own shares held by Wyer Investments Pty. Ltd. by virtue of their control over Wyer Investments Pty. Ltd. The Reporting Person disclaims beneficial ownership of Issuer's securities held by Wyer Investments Pty. Ltd., except to the extent of her respective pecuniary interest.
