Explanation of Responses:

1. Restricted stock units representing the contingent right to receive, at settlement, one share of common stock. The restricted stock units (RSUs) vest at the rate of 50,000 RSUs on each of June 1, 2024 and 2025, subject to the reporting person's continued service through the applicable vesting date. Restricted stock units do not expire; they either vest or are canceled prior to vesting date. Granted in consideration for services rendered under the Issuer's 2022 Equity Incentive Plan.
