Explanation of Responses:

1. The Reporting Person directly owns 1,397,318 shares of Issuer common stock.

2. Members of the Reporting Person's household were gifted a total of 40,000 shares of Issuer common stock. The Reporting Person disclaims beneficial ownership of such shares of Issuer common stock, except to the extent of the Reporting Person's pecuniary interest therein.

3. The Reporting Person is part of a control group consisting of family members of the Reporting Person. Shares of Issuer common stock were gifted to family members of people within the control group, the net effect of which resulted in a decrease of 100,000 shares of Issuer common stock to the control group. The Reporting Person disclaims beneficial ownership of such shares of Issuer common stock, except to the extent of the Reporting Person's pecuniary interest therein.
