Explanation of Responses:

1. Consists of shares of Common Stock issuable under 8,994 restricted stock units ("RSUs") granted on May 17, 2022, which RSUs are scheduled to vest with respect to all shares on the first anniversary of the grant date or, if earlier, immediately prior to the first annual meeting of stockholders occurring after the grant date, subject to continued service as a director. Each RSU represents the right to receive one share of Common Stock upon vesting. In the event of a change in control of the Issuer, the RSUs will vest in full.

2. Represents shares of common stock held by entities affiliated with Bay City Capital, LLC including Bay City Capital Fund V, L.P. and Bay City Capital Fund V Co-Investment Fund, L.P. Bay City Capital Management V LLC ("GP V") is the general partner of Bay City Capital Fund V, L.P. and Bay City Capital Fund V Co-Investment Fund, L.P. (collectively, "BCC V"). Bay City Capital, LLC ("BCC LLC") is the manager of GP V. The Reporting Person is an investment partner and managing director of BCC LLC and shares voting and dispositive power with respect to shares held by BCC V. The Reporting Person disclaims beneficial ownership of these shares, except to the extent of any pecuniary interest therein.

3. This option was granted on May 17, 2022 and is scheduled to vest with respect to all shares on the first anniversary of the grant date or, if earlier, immediately prior to the first annual meeting of stockholders occurring after the grant date, subject to continued service as a director. In the event of a change in control of the Issuer, the option will become exercisable in full.
