Explanation of Responses:

1. Represents restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs shall vest in three equal annual installments beginning on each anniversary following the Grant Date, subject to the Reporting Person's continued service to the Issuer through each such vesting date.

2. The Stock Option shall vest in three equal annual installments beginning on each anniversary following the Grant Date, subject to the Reporting Person's continued service to the Issuer through each such vesting date.
