Explanation of Responses:

1. The RSUs were granted to Invicta Media Investments, LLC in connection with a Confidential Vendor Exclusivity Agreement, dated June 9, 2021, between iMedia Brands, Inc. and Invicta Watch Company of America, Inc., the sole member of Invicta Media Investments, LLC. One-fifth of the RSUs will vest annually, beginning on June 9, 2021 and ending on June 9, 2025.
