Explanation of Responses:

1. Reflects restricted stock units ("RSUs") granted pursuant to the terms of the Issuer's 2020 Omnibus Incentive Plan,. The RSUs will vest on the date of the Issuer's 2023 annual meeting of stockholders, provided that the Reporting Person remains in continuous service with the Issuer through the vesting date. The RSUs were awarded in an exempt transaction pursuant to Rule 16b-3(d) of the Securities Exchange Act of 1934, as amended. Mr. Isenberg disclaims beneficial ownership of such shares as they will revert to Mr. Isenberg's employer following vesting.
