Explanation of Responses:

1. The sale reported in this Form 4 represents the withholding of shares of Common Stock by the Company to satisfy tax withholding obligations in connection with the net issuance of shares of Common Stock delivered to the Reporting Person on August 25, 2023 from the vesting and settlement of restricted stock units. The number of shares withheld by the Company to satisfy tax withholding obligations (and the net issuance) is based on the average of the bid and ask price of the Company's Common Stock on August 25, 2023.
