Explanation of Responses:

1. The shares were issued to the Reporting Person under the Issuer's 2017 Amended and Restated Equity Incentive Plan in connection with the Reporting Person's service as a director on the Board of Directors of the Issuer.

2. On January 6, 2023, the Issuer implemented a reverse stock split at a ratio of 1-for-20 (the "Reverse Split"). The number of shares beneficially owned by the Reporting Person as set forth in this Form 4 has been adjusted to reflect the Reverse Split.
