Explanation of Responses:

1. The 127,273 shares represent time-vesting restricted stock units granted pursuant to the Company's 2014 Long-Term Incentive Plan and vest in equal installments on September 22, 2022, September 22, 2023 and September 22, 2024.

2. The 254,545 shares represent shares of performance-based restricted stock units granted pursuant to the Company's 2014 Long-Term Incentive Plan. Subject to the satisfaction of certain performance criteria, the restricted stock will vest on September 22, 2024. Reflects the maximum number of shares that may vest.
