Explanation of Responses:

1. Represents the number of shares withheld by and surrendered to the Issuer on February 1, 2023, to satisfy tax withholding obligations that arose in connection with a vesting event from the Restricted Stock Unit ("RSU") award granted on May 1, 2021. The RSU award for 75,000 shares in total vested as to 25% of the RSUs on May 1, 2022 and vests as to 6.25% of the RSUs every three (3) months thereafter.
