Explanation of Responses:

1. Represents 1,137 Class A Common Stock received in lieu of cash compensation for service as a director pursuant to an election made by the Reporting Person.

2. The share price utilized to calculate the number of shares issued was the closing price of Atlas Technical Consultants' Common Stock on April 29, 2022, the date on which Directors received their quarterly cash compensation.

3. Included in this amount are 16,500 shares that were inadvertently omitted in the Reporting Person's prior two (2) reports.
