Explanation of Responses:

1. On February 21, 2022, Dr. Lerner was issued 100,000 restricted shares of the Issuer's common stock in connection with his appointment as the Chief Operating Officer of the Issuer.

2. On February 21, 2022, Dr. Lerner was issued 50,000 stock options in connection with his appointment as Chief Operating Officer of the Issuer. The stock options will vest over a period of two years in two equal annual installments.
