Explanation of Responses:

1. Pursuant to the Exchange Agreement, dated as of November 1, 2021, among the Reporting Person and the counterparties thereto, the Reporting Person acquired an aggregate of 43,658,800 shares of the Issuer's common stock in exchange for the issuance, in the aggregate, of 5,347,320 shares of the Reporting Person's Series A Liberty SiriusXM Common Stock, par value $0.01 per share. The exchange closed on November 3, 2021.
