Explanation of Responses:

1. These deferred share units (the "DSUs") were granted under the QTS Realty Trust, Inc. 2013 Equity Incentive Plan (the "Plan") and represents the contingent right to receive one share of the Issuer's Class A common stock. The DSUs vest one year after the date of grant. The reporting person elected to defer the settlement of the DSUs until the reporting person's departure from the board of directors of the Issuer.

2. These options to purchase shares of Class A common stock were granted under the Plan and vest one year after the date of grant.

SEC Form 4: Mazen Al-Rawashdeh was granted 2,053 units of Class A Common Stock, increasing direct ownership by 42% to 6,984 units
