Explanation of Responses:

1. Represents shares of Class A common stock underlying a time-based restricted stock unit award ("RSUs"). The RSUs will vest on a quarterly basis, beginning on June 30, 2022, with an additional 25% of the RSUs vesting on the last day of each calendar quarter thereafter, subject to the reporting person's continuous service as a member of the Board of Directors through each vesting date.
