1. Represents the number of shares of Common Stock that the Reporting Person purchased in the Issuer's rights offering.

2. Since filing his last Form 4, Mr. McLoughlin received 9800 shares pursuant to the mergers of other funds in which Mr. McLoughlin owned shares into this Fund as well as his participation in the Fund's Dividend Reinvestment Program.
