Explanation of Responses:

1. Represents the withholding of shares of common stock by Sterling Bancorp, Inc. in satisfaction of tax withholding obligations in connection with the vesting of restricted stock previously granted to the reporting person.

Remarks:

On March 3, 2023, the reporting person filed a Form 4 which, due to clerical error, incorrectly reported 723 shares withheld to cover tax withholding obligations in connection with the vesting of restricted stock previously granted. This Form 4 amendment reports the correct amount of 696 shares withheld and updates the resulting ownership total.
