Explanation of Responses:

1. On January 25, 2021, pursuant to that certain Agreement and Plan of Merger, dated as of October 1, 2020, by and among the Issuer, IRC Superman Midco, LLC ("IRC") and Superman Merger Sub, Inc. ("Merger Sub"), Merger Sub merged with and into the Issuer with the Issuer surviving as a wholly owned subsidiary of IRC (the "Merger"). Upon consummation of the Merger, each share of common stock of the Issuer was cancelled and converted into the right to receive $11.50 per share in cash (the "Per Share Merger Consideration"). In addition, each unvested share of restricted stock, including performance-based restricted stock, automatically vested and was converted in the right to receive the Per Share Merger Consideration.

2. Securities held by a corporation wholly-owned by the Reporting Person.

3. Shares held by limited liability companies for the benefit of the Reporting Person's family. The Reporting Person disclaims beneficial ownership of the shares held by such limited liability companies, except to the extent of his pecuniary interest therein. The filing of this statement by the Reporting Person shall not be deemed to be an admission that, for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or otherwise, such Reporting Person is the beneficial owners of the securities reported herein.
