Explanation of Responses:

1. On April 20, 2021, the reporting person was awarded 5,768 shares of restricted Common Stock under the 2012 Ready Capital Corporation Equity Incentive Plan. The shares will vest in equal installments of one-third on June 30, 2021, September 30, 2021 and December 31, 2021.

2. Received in exchange for 1,000 shares of 8.625% Series A Cumulative Preferred Stock of Anworth Mortgage Asset Corporation ("Anworth") in connection with the closing of the merger of Anworth with and into a subsidiary of Ready Capital Corporation (the "Company") on March 19, 2021.

3. Received in exchange for 500 shares of 7.625% Series C Cumulative Preferred Stock of Anworth in connection with the closing of the merger of Anworth with and into a subsidiary of the Company on March 19, 2021.
