1. Represents an award of restricted stock units ("RSUs"), which will vest in five equal annual installments beginning on 02/10/2023.

2. In addition to the acquired RSUs reported on this Form 4, includes 1,000 RSUs, which began vesting in five equal annual installments on 07/01/2021, 1,000 RSUs, which began vesting in five equal annual installments on 05/23/2020, and 1,500 RSUs which will begin vesting in five equal annual installments beginning on 04/01/2022.

Remarks:

Shares acquired by the Reporting Person on 02/10/2022 are being reported late due to administrative error.
